Please read these terms carefully before using fluencr.

These Terms and Conditions ("Agreement") govern your use of the fluencr website and services ("fluencr" or "Platform"). Please read this Agreement carefully before accessing or using fluencr. By accessing or using the Platform, you agree to be bound by this Agreement.

Beta Disclaimer

fluencr is currently operating in a Beta phase, which means certain features may be incomplete, limited, or subject to change. By using the Platform during this phase, you understand and accept that:

  • Some functionalities (including but not limited to the campaign workspace, in-app messaging, payments, and analytics) may not be fully available or may undergo significant changes.
  • You may experience bugs, delays, or temporary service interruptions.
  • Your feedback may be used to improve the platform, but fluencr makes no guarantees regarding feature performance, availability, or timelines.
  • Businesses acknowledge that they may choose to:
    • Manage campaigns independently (DIY), where they are solely responsible for outreach, strategy, deliverables, and payments.
    • Opt for a fluencr Specialist, in which case fluencr will manage the campaign end-to-end for a 12% service fee. Businesses agree to make all payments via bank transfer during the beta phase. A 60% advance is required to initiate a campaign, with the remaining 40% payable prior to the influencer's content being published.
  • Influencers agree to receive their full quoted payment prior to publishing their content.

Your continued use of fluencr during the Beta period indicates your acceptance of these conditions.

1. Acceptance of Terms

By accessing or using fluencr, you affirm that you have read, understood, and agree to comply with this Agreement. If you do not agree with any provision of this Agreement, you should not access or use fluencr.

2. Eligibility

You must have a valid business registration (for businesses) to use fluencr. By accessing or using fluencr, you represent and warrant that you meet these eligibility requirements.

3. User Accounts

  1. Registration: To access certain features of fluencr, you may need to create a user account. You agree to provide accurate and complete information during the registration process. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
  2. Account Security: You agree to notify us immediately of any unauthorized access or use of your account. fluencr shall not be liable for any loss or damage arising from your failure to comply with this security obligation.
  3. Account Authorization: By connecting your social media accounts to fluencr, you agree to authorise fluencr to retrieve data from your accounts for as long as you have provided fluencr the access tokens for your accounts. You can revoke access at anytime.

4. Use of fluencr

  1. License: fluencr grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Platform for the purpose of facilitating business and influencer collaborations, in accordance with this Agreement.
  2. Prohibited Activities: You agree not to engage in any activity that may violate applicable laws, infringe upon the rights of others, or disrupt the functioning of fluencr. Prohibited activities include, but are not limited to, unauthorized access, data scraping, spamming, and uploading malicious content.

5. Intellectual Property Rights

  1. fluencr Ownership: fluencr and its associated trademarks, logos, and content are owned by fluencr and are protected by intellectual property laws. You acknowledge that you do not acquire any ownership rights by using fluencr.
  2. User Content: By uploading or sharing any content on fluencr, you grant fluencr a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, and distribute the content for the purpose of operating and promoting fluencr.

6. Communication

Neither influencer nor brand may exchange contact information once a campaign has started. This way fluencr aims to protect you from potential fraud and scams. It's important to remember that even if it's OK to ask for contact information, you'll still need to keep all your communication on fluencr. Else, you'd be breaking our rules. If you exchange contact information, we may flag it. Depending on what's happened, we'll take action on your account.

7. Privacy

fluencr is committed to protecting your privacy. Our Privacy Policy explains how we collect, use, and safeguard your personal information. By using fluencr, you consent to the collection and use of your information as described in the Privacy Policy and you agree and accept the Privacy Policy.

8. Fees and Payments

  1. Payment Obligations: If you utilize paid services or participate in campaigns on fluencr, you agree to pay the applicable fees and charges.
  2. Refunds and settlements: Refunds and settlements, both partial and full, are subject to investigation upon submission of dispute by businesses or influencer.
  3. Taxes: You are responsible for any applicable taxes or duties associated with your use of fluencr, including any taxes on fees or payments made through the Platform.

9. Cancellation Policy

Cancellations are subject to investigation upon submission of dispute by businesses or influencer.

  1. Businesses: You agree that should you cancel a collaboration with an influencer(s), fluencr reserves the right to make the final decision on refunds, and settlements to influencers, whether partial or full, upon investigation of reason for cancellation and the stage at which cancellation was made.
  2. Influencers: You agree that should you cancel a collaboration with a business, fluencr reserves the right to make the final decision on refunds to businesses, whether partial or full, upon investigation of reason for cancellation and the stage at which cancellation was made.
  3. Should the business wish to cancel a collaboration after the influencer has been briefed and/or begun content creation, the business needs to contact the fluencr support team. The fluencr support team will then intervene and take the necessary action. Cancellation fees may be applied, on a case-by-case basis. The same policy applies to the influencer should he/she wish to cancel after being briefed and/or after beginning the content creation process.

10. Limitation of Liability

To the maximum extent permitted by law, fluencr and its affiliates shall not be liable for any indirect, incidental, consequential, or exemplary damages arising out of or in connection with your use of fluencr.

11. Modifications to the Agreement

fluencr reserves the right to modify or update this Agreement at any time. We will provide notice of material changes through the Platform or other means. Your continued use of fluencr after such modifications will constitute your acceptance of the revised Agreement.

12. Termination

fluencr may suspend or terminate your access to the Platform, in whole or in part, at any time and for any reason.

13. Dispute Resolution

Any disputes arising out of or in connection with this Agreement shall be resolved through appropriate intervention from the fluencr support team.

14. Severability

If any provision of this Agreement is found to be unenforceable or invalid, the remaining provisions shall continue to be valid and enforceable to the fullest extent permitted by law.

15. Entire Agreement

This Agreement constitutes the entire agreement between you and fluencr regarding your use of the Platform and supersedes any prior agreements or understandings.
